Terms of Service

These Terms & Conditions ("Terms") govern your access to and use of the Umami mobile application for iOS ("App"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, you must not use the App.

2. Scope of Application

These Terms apply to the Umami iOS App and all features, content, and services provided through it.

2.1 Apple Specific Terms

You acknowledge that these Terms are an agreement between you and Umami only, and not with Apple. Umami, not Apple, is solely responsible for the App and its content. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.

You further acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

2.2 Apple Standard EULA

By downloading this app, you agree to Apple's Standard EULA.

3. Eligibility

You may use the App only if:

  • You are at least 16 years old, or
  • You have obtained consent from a parent or legal guardian, where required by law.

4. Account Registration

Use of the App requires a user account.

4.1 Account creation

To create an account, you must provide a valid email address and a username. Authentication is performed via one-time passwords (OTP). No passwords are stored by Umami.

4.2 Account responsibility

You are responsible for maintaining the confidentiality of your email access and for all activities conducted through your Umami account.

5. Free Usage & Free Trial

Umami offers a free usage tier. Additionally, a free trial is available which allows full access to premium features until you have added more than 15 food spots. After this limit is reached, continued access to premium features requires a paid subscription.

6. Subscriptions & Payments

6.1 Subscription handling

Subscriptions are recurring and processed exclusively through the Apple App Store. Umami does not process payments or billing data directly.

6.2 RevenueCat

Subscription management and validation is handled by RevenueCat, Inc. By using the subscription features of the App, you also agree to RevenueCat's Terms of Service. Umami does not receive or store any payment or billing data; only subscription status information is shared with us to unlock features.

6.3 Renewal & Cancellation

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

To cancel your subscription:

  • Open the Settings app on your iPhone.
  • Tap your name, then tap Subscriptions.
  • Select Umami and tap Cancel Subscription.

Alternatively, you can manage or cancel your subscription directly through your Apple ID settings in the App Store.

After cancellation, your subscription remains active until the end of the current billing period. You will not be charged again, but you retain access to all premium features until the period expires. No partial refunds are issued for unused time within a billing period.

Refunds, where applicable, are handled exclusively by Apple under its App Store refund policies and are not managed by Umami.

7. Right of Withdrawal (EU / EEA Users)

If you are a consumer in the EU or EEA, you generally have a 14-day right of withdrawal. Important: By starting a paid subscription and accessing premium features, you expressly agree that the service begins immediately. You acknowledge that your right of withdrawal expires as soon as the performance of the contract has begun with your prior express consent (i.e., when premium features are activated). Refunds are handled exclusively by Apple under its App Store policies.

8. App Features & Permissions

Certain features require access to device functions (Location, Push Notifications, Photos). You can manage these via iOS system settings. Some features may not function correctly if required permissions are disabled.

9. Data Collection & Technical Information

To provide, improve, and support the App, Umami and its service providers may collect and use technical data and related information — including but not limited to information about your device, operating system, application software, and crash data. This information is collected periodically and used to facilitate software updates, product support, and other services related to the App.

Where such data is processed in a form that does not personally identify you, it may be used to improve the App and related services. All personal data is handled in accordance with our Privacy Policy.

10. User Content

You may create or upload content, including food spot entries, photos, notes, comments, and lists.

10.1 Responsibility

You are solely responsible for your content. It must not be unlawful, defamatory, or infringe on third-party intellectual property.

10.2 License

You grant Umami a non-exclusive, worldwide, royalty-free license to host, store, and display your content solely to provide the App's functionality (e.g., sharing and collaboration).

10.3 Indemnification

You agree to indemnify and hold Umami harmless from any third-party claims, damages, or costs (including legal fees) arising from content you upload that violates these Terms or third-party rights.

11. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose or in violation of these Terms.
  • Post false, misleading, or spam content (e.g., fake food spots or reviews).
  • Harass, threaten, or abuse other users.
  • Scrape, crawl, or systematically extract data from the App without prior written consent.
  • Attempt to gain unauthorized access to any part of the App, its servers, or other users' accounts.
  • Disrupt or overload the App's infrastructure (e.g., denial-of-service attacks).
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App, any updates, or any part thereof, except as expressly permitted by applicable law or open-source licensing terms.
  • Modify, adapt, translate, or create derivative works based on the App or any part thereof.
  • Use the App to distribute malware or any harmful code.
  • Create multiple accounts to circumvent restrictions or bans.
  • Export or re-export the App in violation of applicable export control laws (see Section 17).

In case of misuse, Umami reserves the right to remove content, issue warnings, temporarily suspend, or permanently terminate your account, depending on the severity of the violation. In serious cases (e.g., illegal content, security threats), action may be taken immediately and without prior notice.

12. External Services & Third-Party Content

The App may enable access to Umami's and/or third-party services and websites (collectively, "External Services"), including but not limited to mapping providers, RevenueCat, and other integrations. You agree to use External Services at your sole risk.

Umami is not responsible for examining or evaluating the content or accuracy of any third-party External Services and shall not be liable for any such services. Data displayed by the App or any External Service — including but not limited to location information — is for general informational purposes only and is not guaranteed by Umami.

You agree not to use the External Services in any manner inconsistent with these Terms or that infringes the intellectual property rights of Umami or any third party. You agree not to use External Services to harass, abuse, stalk, threaten, or defame any person or entity.

External Services may not be available in all regions. Umami reserves the right to change, suspend, remove, or disable access to any External Services at any time without notice or liability.

13. Suspension & Termination

13.1 By you

You may terminate your account at any time via App settings. Upon deletion, your personal data will be erased in accordance with our Privacy Policy. If you have an active subscription at the time of deletion, you will retain access to premium features until the end of the current billing period. The subscription will not renew after that.

13.2 By Umami

We may suspend or terminate your account if you materially breach these Terms or if continued operation is not technically/legally feasible. Your rights under these Terms will terminate automatically if you fail to comply with any of their terms. Except in cases of illegal content or immediate security risks, we will provide prior notice.

14. Availability & Changes

Umami strives for high availability but does not guarantee uninterrupted access. We may modify features or update the App, provided that such changes do not materially reduce paid features without justification.

15. Intellectual Property

All rights to the App (software, design, branding, and all related documentation) remain the exclusive property of Umami. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms. No rights are granted to you other than as expressly set forth herein. You may not sell, resell, copy (except as otherwise permitted), distribute, sublicense, or otherwise exploit the App or any component thereof.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ANY SERVICES PERFORMED OR PROVIDED BY THE APP ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. UMAMI HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE APP AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, AND OF NONINFRINGEMENT OF THIRD-PARTY RIGHTS.

Nothing in these Terms limits your mandatory consumer rights under applicable law.

17. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL UMAMI BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF UMAMI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Umami's total cumulative liability to you for all damages exceed the greater of (a) the total amount of subscription fees you paid to Umami in the twelve (12) months immediately preceding the claim, or (b) fifty euros (€50.00).

The foregoing limitations do not apply to liability for death or personal injury caused by gross negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

18. Export Compliance

You may not use or export the App except as authorized by applicable law. In particular, the App may not be exported or re-exported (a) into any country subject to a Swiss, EU, or U.S. government embargo, or (b) to anyone on the U.S. Treasury Department's Specially Designated Nationals List, the U.S. Department of Commerce Denied Persons List or Entity List, or equivalent EU or Swiss sanctions lists. By using the App, you represent and warrant that you are not located in any such country and are not on any such list. You also agree not to use the App for any purposes prohibited by applicable law.

19. Privacy

Personal data is processed in accordance with our Privacy Policy, which is also available in the App.

20. Governing Law & Jurisdiction

These Terms are governed by the laws of Switzerland, excluding conflict-of-law rules. The place of jurisdiction is Zurich, Switzerland. If you are a consumer in the EU/EEA, this choice of law and jurisdiction does not deprive you of mandatory protections and the right to bring proceedings in your country of residence.

21. Changes to These Terms

We may update these Terms from time to time. If changes materially affect your rights, we will notify you in advance. Continued use of the App after the effective date constitutes acceptance.

22. Severability

If any provision of these Terms is found to be invalid, the remaining provisions remain unaffected.
